Thrive Workplace Client Referral Program

TERMS & CONDITIONS IN THE UNITED STATES

Subject to these terms and conditions, Thrive Workplace will compensate our clients for each qualified referral that leads to the execution of Thrive Workplace membership or Virtual Office Agreement (other than an agreement for The Membership) in the United States.

A. QUALIFIED REFERRAL

Subject to these terms and conditions, a qualified referral means any entity introduced by the referring party (“you”) to Thrive Workplace that signs one of the agreements noted above (an “eligible agreement”). To be considered a qualified referral, these entities or the primary members of such entities: (a) must not be current or previous clients of Thrive Workplace; (b) must not have previously contacted Thrive Workplace with respect to the services Thrive Workplace offers or otherwise been referred prior to your submission of your referral in the sixty (60) days prior to your submission; (c) must sign an eligible agreement no later than two (2) months from the date of your submission; and (d) must not be (i) a subsidiary of the entity providing the referral, (ii) an entity with the same parent entity as the entity providing the referral or (iii) an entity in which you are an employee, partner, or owner of a controlling interest. In the event we receive duplicate referrals with respect of the same entity (including when one referral is from a broker), we will honor the one we receive earliest, unless (i) an exclusive agreement exists between the referred entity and a broker and (ii) such broker submits a referral with respect to such referred entity prior to the date such referred entity signs an eligible agreement. If a referring client is also a broker, they may choose whether to be compensated under this client referral program or any broker referral program applicable to them, but may not collect under both with respect to the same qualified referral.

B. REFERRAL REWARDS

Subject to these terms and conditions, Thrive Workplace will deliver referral rewards and/or credits with respect to a qualified referral on a one-time basis as follows:

a. If the qualified referral is for an Office Space and the term of the executed Office Space agreement is at least six months, Thrive Workplace (i) will give the eligible referrer either a one-time $500 billing credit or an American Express Gift Card or an Amazon Gift Card in each case valued at $500 and (ii) will give the newly referred Thrive Workplace client a one-time $200 billing credit.

b. If the qualified referral is for a Virtual Office or a mobile membership, Thrive Workplace (i) will give the eligible referrer either a one-time $200 billing credit or an American Express Gift Card or an Amazon Gift Card in each case valued at $200 and (ii) will give the newly referred Thrive Workplace client a one-time $100 billing credit.

If the qualified referral is for an Office Space and the term of the executed Office Space agreement is for less than six months, then the value of any referral payment will be determined by Servcorp in its absolute discretion.

Payment
Subject to these terms and conditions, the rewards and/or credits outlined above will be made as follows:

a. If the qualified referral is for an Office Space, the gift card and/or the credit(s) will be delivered or processed as applicable within forty five (45) days of the Term Commencement Date (as such date is set out in the eligible agreement for such Office Space); and

b. If the qualified referral is for a Virtual Office or a Coworking package, the gift card and/or the credit(s) will be delivered or processed as applicable within forty five (45) days of the end of any initial free period in such eligible agreement,

Provided that, in each case, the newly referred Thrive Workplace client has paid all amounts that are due and payable by it under its eligible active agreement prior to the date that the rewards and/or credits are to be made.

Communication

All communication regarding the rewards and/or credits noted above and the timing of their delivery, shall be made by and with your Thrive Workplace Manager, provided that no communications made by such Manager, especially regarding the validity of a referral, shall be considered binding on Thrive Workplace until the date such applicable rewards and/or credits noted above are made.

C. MISCELLANEOUS

Thrive Workplace reserves the right in its sole discretion to make any determination under these terms and conditions, including, without limitation, the determination of your eligibility and that of the qualified referral. By referring qualified referrals, you will not be deemed to be an employee of Thrive Workplace and you will not act as an agent of Thrive Workplace nor are you entitled to make any commitments on behalf of Thrive Workplace. Thrive Workplace reserves the right to amend these terms and conditions at any time without prior notice.
